Minutes: Meeting of the Members, June 25, 2014

The meeting was called to order by Julia Pitkin-Shantz at 8:04 pm at the Tikvat Israel Congregation Library.

 

Present

Newly Elected Board Members: Arthur Halpern, Dipti Singh, Kris Sollid
Property Manager: Lisa Ringler from Chambers Management;
Legal Counsel: Tiffany Releford from Whiteford, Taylor and Preston.

 

Appointment of Board Members:

Board Members, Julia Pitkin-Shantz and Justin Temple, voted to accept the election results from the Special Meeting and appointed Arthur Halpern, Dipti Singh and Kris Sollid to serve the remaining terms of Declarant Board Members John Hawks, Jackie Leverton and Elliot Totah; all of whom resigned at the last Board of Directors meeting.

It was clarified that the Secretary/Treasurer has specific duties listed in the Bylaws and that at-large members do not have any enumerated responsibilities.

 

Election of Officers:

  • President – Julia Pitkin-Shantz
  • Vice President – Arthur Halpern
  • Secretary/Treasurer – Kris Sollid
  • Dipti Singh and Justin Temple will serve as Board Members at Large

 

Determination of Term Expiration Dates:

  • December 2014 – Justin and Kris
  • December 2015 – Dipti and Arthur
  • December 2016 – Julia

 

It was requested Chambers Management scan and email monthly reports to Julia. She will distribute to the other directors and will forward redacted copies to be posted on deertree.org In the interest of being green and saving HOA expense, no hard copies will be mailed form this point forward.

Discussion of Board Meeting process.
All meetings are open to the Membership; homeowners should bring questions and comments about the Association to the monthly meeting.

 

Discussion of budget variances:
Legal fees expended this year exceed budgeted amount of $3,000. Two primary reasons for this occurrence, namely, household 2021 has continued to require collection activity this year and challenges by Nersi and Wolfgang to the board about its activities. New Board member Dipti believes that Wolfgang’s challenges will not be an ongoing concern. Legal fees related to collection activity are supposed to be paid by the homeowner.

The snow clearing expense also exceeded budgeted amounts, but by far less than other associations Lisa has seen. Funds for maintenance and reserves that are unlikely to be used for 2014 expenses were included in the budget and may be used for overages in the other two items.

 

Discussion of committees:
With the appointment of new board members, new committee members may be appointed for any committee. A priority for the Board is the amendment of the Bylaws and Covenants during the Declarant Control Period (as defined in the Bylaws). In reviewing the documents, Tiffany confirmed that the Declarant is still allowed to amend the documents and may be willing to do so at the HOA’s request. Open meetings need to be held, with counsel, about potential amendments. It was agreed that there are many potential improvements, including eliminating the provision that allows non-Members to serve as a Director.

Dipti will be out of town and unable to attend the July meeting.

There being no further business before the Board, the meeting was adjourned at 9:00 p.m.
